Article 1.
1. ACCEPTANCE OF TERMS
These Terms of Service ("Terms") govern your access to and use of the website, digital resources, coaching services, programs, and other offerings provided by Barbara Bolz-Nunnery LLC ("Company," "we," "us," or "our").
By accessing or using our website, purchasing or enrolling in any of our services or offerings, submitting an inquiry, creating an account, or otherwise participating in our programs or services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
Certain services, including bespoke coaching engagements, may also be governed by a separate Coaching Agreement or other written agreement provided to you in connection with your purchase or enrollment. Where a separate agreement applies, that agreement will govern the specific terms of the applicable coaching relationship, while these Terms continue to govern your general use of our website and services.
If you do not agree to these Terms, you should not access or use our website or purchase or participate in our services.
By proceeding with a purchase or enrollment, you confirm that you have the legal capacity to enter into a binding agreement under applicable law.
Article 2
2. ELIGIBILITY AND USE OF THE SITE
2.1 Eligibility
Our website and services are intended for individuals who are at least eighteen (18) years of age and who have the legal capacity to enter into a binding agreement under applicable law.
By accessing our website or purchasing or participating in our services, you represent and warrant that you meet these requirements.
2.2 Appropriate Use
You agree to use our website and services only for lawful purposes and in a manner consistent with these Terms.
You may not use the website or any portion of our services to:
violate any applicable law or regulation;
infringe or misappropriate the intellectual property, privacy, or other rights of the Company or any third party;
attempt to gain unauthorized access to our website, systems, accounts, or digital resources;
interfere with or disrupt the operation or security of the website or services;
introduce malicious code, viruses, or other harmful material;
copy, reproduce, distribute, resell, or commercially exploit our materials or services except as expressly permitted by us in writing; or
use our services or materials for any unlawful, fraudulent, abusive, or unauthorized purpose.
We reserve the right to restrict or terminate access to the website or applicable services where we reasonably believe that these Terms have been violated or that such action is necessary to protect the Company, our clients, our systems, or our intellectual property.
2.3 Website and Platform Access
Certain services and digital resources may be delivered through third-party platforms or technology providers, including Mastermind Business Hub and related client portals.
Where access credentials are provided, you are responsible for maintaining the confidentiality of your login information and for taking reasonable steps to prevent unauthorized access to your account.
You agree not to share, transfer, or permit another person to use your individual account or access credentials unless expressly authorized by us.
We do not guarantee that the website or third-party platforms will always be uninterrupted, error-free, or available, and access may occasionally be affected by maintenance, technical issues, or circumstances outside our reasonable control.
Article 3
3. SERVICES AND OFFERINGS
3.1 Description of Services
Barbara Bolz-Nunnery LLC provides transformative coaching, mentoring, and related educational and developmental resources designed to support personal and professional reflection, clarity, presence, self-expression, leadership, and meaningful development.
The specific services, programs, session formats, duration, pricing, and other terms applicable to an offering will be described in the applicable offering materials and, where applicable, at checkout.
3.2 Bespoke Coaching Engagements
Certain services are provided as bespoke, one-to-one coaching engagements and are designed around the individual Client's circumstances, intentions, and areas of focus.
Because these engagements are personalized, the scope and structure of a particular coaching relationship may be further defined in a separate Coaching Agreement between the Company and the Client.
Where a Coaching Agreement applies, it supplements these Terms and governs the specific coaching relationship, including matters such as the duration of the engagement, session structure, client responsibilities, confidentiality, scheduling, payment arrangements, and applicable termination provisions.
3.3 Future and Additional Offerings
The Company may introduce additional coaching services, educational resources, digital experiences, programs, or other offerings from time to time.
Any such offering will be subject to the terms, pricing, access conditions, and other information provided in the applicable offering materials and purchase terms.
3.4 Changes to Services
The Company reserves the right to modify, update, improve, suspend, or discontinue portions of its website, services, programs, or offerings from time to time.
Any material changes to an active paid service or coaching engagement will be handled in accordance with the applicable purchase terms or separate agreement.
3.5 No Promise of Particular Outcomes
Our services are intended to support reflection, development, and meaningful personal or professional change. Individual experiences and outcomes will vary.
Participation in our services does not guarantee any particular personal, professional, financial, leadership, or other result. Nothing in our website, services, or communications should be understood as a promise or guarantee of a specific outcome.
Article 4
4. PURCHASES, PRICING, AND PAYMENT
4.1 Purchases
When you purchase a service, program, digital offering, or other product from Barbara Bolz-Nunnery LLC, you agree to provide complete and accurate information necessary to process and fulfill your purchase.
By submitting an order or completing a purchase, you confirm that you are authorized to use the payment method provided and that the information submitted is accurate and current.
A purchase is considered accepted when payment has been successfully processed and, where applicable, the Company has provided confirmation of the purchase.
4.2 Pricing
Prices for services and offerings are stated in the applicable offering materials and at checkout.
Unless otherwise expressly stated, prices are stated in U.S. dollars. Where applicable, required taxes will be included in the displayed purchase price or calculated and disclosed at checkout in accordance with applicable law and the Company's payment-processing and tax settings.
The Company reserves the right to change pricing for future purchases at any time. A price change will not alter the price or payment terms of an existing purchase or active coaching engagement that has already been accepted by the Company.
4.3 Payment Methods
Payments may be processed through third-party payment providers, including Stripe, or through other payment methods made available by the Company from time to time.
By submitting payment information, you authorize the applicable payment provider to process the transaction in accordance with the payment option you selected at checkout.
Payment information is processed and maintained by the applicable third-party payment provider in accordance with its own terms, security practices, and privacy policies.
4.4 Payment Options
Certain offerings may be available with different payment options, including payment in full or an installment payment plan.
The payment option selected at checkout will determine the amount and timing of the payments due.
Where an installment plan applies to a fixed-term coaching engagement, the installment arrangement is a method of paying the agreed total engagement fee over the stated payment schedule. It does not, by itself, create a month-to-month coaching arrangement or a separate purchase for each installment.
The specific payment schedule and total investment applicable to a purchase will be disclosed before the purchase is completed.
4.5 Authorization of Recurring Payments
Where you select an installment plan involving recurring payments, you authorize the applicable payment provider to charge your designated payment method according to the payment schedule presented at checkout.
You are responsible for ensuring that a valid payment method remains available throughout the applicable payment period.
Recurring payment authorization does not alter the underlying terms of the service or engagement purchased. Any rights to cancel, terminate, or otherwise conclude a service or coaching engagement are governed by these Terms, the applicable purchase terms, and, where applicable, a separate Coaching Agreement.
4.6 Payment Confirmation
Following a successful purchase, the Company may provide a purchase confirmation, receipt, access information, scheduling information, or other relevant communications by email or through the applicable client or digital platform.
You are responsible for reviewing these communications and notifying the Company promptly if you believe that any material information relating to your purchase is incorrect.
4.7 Taxes and Personal Tax Obligations
The Company will handle applicable transaction taxes in accordance with applicable law and the Company's payment-processing and tax arrangements.
Nothing in these Terms relieves you of any tax obligations that may apply to you personally or to your business in connection with your purchase or use of our services.
4.8 Payment Processing and Third-Party Services
Payment transactions may be subject to the terms, conditions, and privacy policies of the applicable third-party payment provider.
The Company is not responsible for delays, errors, or interruptions caused by a third-party payment provider, except to the extent required by applicable law.
Article 5
5. FIXED-TERM COACHING ENGAGEMENTS AND INSTALLMENT COMMITMENTS
5.1 Fixed-Term Engagement
Where a Client purchases a coaching engagement for a specified period, the Client is entering into an agreement for the full stated coaching term and agreed investment.
The duration of the engagement and the total investment will be clearly stated in the applicable offering materials, at checkout, and, where applicable, in the Coaching Agreement.
5.2 Installment Payment Plans
The Company may offer an installment payment option as a convenience to allow the Client to pay the total agreed investment over a defined payment schedule.
An installment payment plan does not create a series of separate monthly purchases or a month-to-month coaching arrangement. Rather, it is a payment arrangement for the total investment associated with the fixed-term coaching engagement.
By selecting an installment payment plan, the Client acknowledges and agrees to the total investment and payment schedule presented at the time of purchase.
5.3 Payment Obligation
Unless otherwise provided under these Terms, an applicable Coaching Agreement, or a valid exercise of an applicable cancellation or assurance provision, the Client remains responsible for the payments associated with the full agreed coaching engagement according to the payment schedule selected at checkout.
The expiration or discontinuation of a particular coaching session, month, or period within the engagement does not, by itself, cancel the Client's remaining payment obligations.
5.4 Changes to Payment Arrangements
A Client may not unilaterally convert a fixed-term coaching engagement into a month-to-month arrangement or discontinue future installment payments solely because the Client no longer wishes to continue participating.
Any modification, early termination, or other change to the agreed engagement or payment obligations must be made in accordance with these Terms, the applicable Coaching Agreement, or another written agreement between the Client and the Company.
5.5 Exceptions and Termination
The payment obligations described in this Article are subject to any rights or remedies expressly provided elsewhere in these Terms or in an applicable Coaching Agreement, including any applicable 30-Day Alignment Assurance, agreed termination provisions, or other rights that may apply under applicable law.
Article 6
6. CANCELLATION, TERMINATION, AND REFUNDS
6.1 General Cancellation and Termination
The cancellation and termination terms applicable to a particular service or coaching engagement are governed by these Terms, the applicable purchase terms, and, where applicable, a separate Coaching Agreement.
Because bespoke coaching engagements involve reserved professional time, preparation, individualized attention, and an ongoing professional relationship, cancellation and termination may be subject to specific provisions contained in the applicable Coaching Agreement.
6.2 Client-Initiated Termination
A Client may request to terminate a coaching engagement only in accordance with the terms of the applicable Coaching Agreement or an expressly applicable cancellation or assurance provision.
Any Client-initiated termination must be communicated to the Company in writing.
Except where an applicable cancellation or assurance provision provides otherwise, a Client's decision to discontinue participation in a fixed-term coaching engagement does not, by itself, release the Client from payment obligations that remain due under the agreed terms of the engagement.
Where appropriate, the Company will confirm receipt of the termination request and provide a written response regarding the termination.
6.3 Company-Initiated Termination
The Company may terminate a coaching engagement where reasonably necessary, including in circumstances involving:
material violation of these Terms or an applicable Coaching Agreement;
non-payment or repeated failure to maintain a valid payment method;
conduct that materially interferes with the coaching relationship or the Company's ability to provide the services;
abusive, threatening, harassing, discriminatory, or otherwise inappropriate conduct; or
circumstances in which the Company determines that continuing the coaching relationship is no longer appropriate or reasonably practicable.
Where appropriate, the Company will communicate the reason for termination and any applicable consequences in writing.
6.4 30-Day Alignment Assurance
Where an applicable Coaching Agreement includes a 30-Day Alignment Assurance, that provision governs the process for addressing genuine questions of alignment or fit arising during the initial thirty (30) days of the coaching engagement.
The Alignment Assurance is intended as a period of mutual discernment and is not a trial period, a month-to-month cancellation provision, or a guarantee of any particular coaching result.
Any refund or release of remaining payment obligations arising under the Alignment Assurance will be handled in accordance with the applicable Coaching Agreement.
6.5 Refunds
Unless otherwise expressly provided in the applicable offering materials, purchase terms, or Coaching Agreement, payments for services already provided are non-refundable.
Any refund applicable to a cancellation, termination, Alignment Assurance, or other circumstance will be determined in accordance with the applicable agreement and applicable law.
6.6 Digital Products and Other Offerings
Refund and cancellation terms for digital products, programs, or other offerings will be stated in the applicable offering materials or purchase terms.
Where no specific refund policy is stated, refunds will be governed by these Terms and applicable law.
6.7 Effect of Termination
Upon termination or expiration of a service or coaching engagement:
the Client's right to access services, materials, platforms, or other resources associated with the engagement may cease;
any outstanding payment obligations that remain due under the applicable agreement will remain due, subject to any applicable cancellation, assurance, refund, or termination provision;
provisions that by their nature are intended to survive termination, including intellectual property, confidentiality, limitations of liability, dispute resolution, and applicable payment obligations, will continue to apply as appropriate.
Article 7
7. INTELLECTUAL PROPERTY AND USE OF MATERIALS
7.1 Ownership
Unless otherwise expressly stated, all materials, content, resources, and intellectual property made available through the Company's Services are owned by or licensed to Barbara Bolz-Nunnery LLC.
This may include, without limitation, written materials, teaching materials, worksheets, exercises, recordings, audio and visual materials, presentations, graphics, digital resources, website content, original coaching frameworks, models, processes, methodologies, and other materials developed or provided by the Company in connection with its Services (collectively, the "Materials").
7.2 Limited Personal Use
Subject to the Client's compliance with these Terms and any applicable Coaching Agreement, the Client is granted a limited, non-exclusive, non-transferable, revocable license to access and use the Materials provided as part of the Services solely for the Client's own personal development and use in connection with the applicable coaching engagement.
This license does not transfer ownership of any Materials or intellectual property to the Client.
7.3 Restrictions on Use
Unless expressly authorized in writing by the Company, the Client may not:
reproduce, copy, republish, distribute, transmit, or commercially exploit the Materials;
sell, license, sublicense, or otherwise make the Materials available to another person or organization;
modify, adapt, or create derivative works from the Materials for commercial purposes;
use the Company's proprietary frameworks, models, processes, or methodologies to develop, market, or provide competing products or services;
remove copyright, trademark, or other proprietary notices from the Materials; or
record, reproduce, or distribute private coaching conversations or sessions without the express consent of the other party.
7.4 Client's Own Work and Insights
The Client retains ownership of original materials, writings, ideas, reflections, or other intellectual property independently created by the Client.
Nothing in these Terms transfers ownership of the Client's intellectual property to the Company.
The Client acknowledges, however, that general insights, learning, skills, perspectives, and personal development arising through participation in coaching do not constitute a transfer of ownership of the Company's underlying Materials, frameworks, methodologies, or intellectual property.
7.5 Client Feedback and Testimonials
If the Client voluntarily provides feedback, comments, testimonials, or other statements regarding the Services, the Company may use such material for business and promotional purposes only with the Client's permission.
The Company will not publicly identify a Client or publish personally identifying information in connection with a testimonial without the Client's consent, except where otherwise permitted by applicable law.
7.6 Recordings and Coaching Sessions
Private coaching sessions may not be recorded, reproduced, distributed, or publicly shared by either party without the prior consent of the other party.
Where the Company records a session or creates a recording for an expressly agreed purpose, the Client will be informed in advance and the use of the recording will be subject to the applicable agreement and consent.
7.7 No Implied Transfer of Rights
Except for the limited license expressly granted under these Terms or an applicable Coaching Agreement, no ownership interest, license, or other intellectual property right is transferred to the Client by virtue of purchasing or participating in the Services.
All rights not expressly granted are reserved by the Company.
Article 8
8. CONFIDENTIALITY AND PRIVACY
8.1 Confidential Nature of the Coaching Relationship
The Company recognizes that coaching may involve the Client sharing personal, professional, financial, creative, or other sensitive information.
The Company will treat information shared by the Client in the course of the coaching relationship as confidential and will not knowingly disclose such information to third parties except as permitted or required by these Terms, the applicable Coaching Agreement, the Client's consent, or applicable law.
8.2 Limits of Confidentiality
Confidentiality does not apply to information that:
is or becomes publicly available through no breach of confidentiality by the Company;
was lawfully known to the Company before it was provided by the Client;
is received lawfully from a third party without a duty of confidentiality;
is independently developed without use of the Client's confidential information; or
must be disclosed pursuant to applicable law, legal process, or a lawful request by a governmental or regulatory authority.
The Company may also disclose confidential information where reasonably necessary to protect the rights, safety, property, or legal interests of the Company or another person, to the extent permitted by applicable law.
8.3 Client Responsibility for Confidentiality
The Client agrees to respect the confidential nature of information shared by the Company during the coaching relationship, including private communications, proprietary materials, business information, and other information that is reasonably understood to be confidential.
The Client will not knowingly disclose or publicly share confidential information belonging to the Company without the Company's prior written consent.
8.4 Coaching Materials and Confidential Information
The confidentiality obligations in this Article are separate from the intellectual property protections described in Article 7.
Confidential information shared during coaching does not become part of the Client's license to use the Company's Materials, and the limited license to use coaching Materials does not authorize the Client to disclose confidential information.
8.5 Privacy and Personal Information
The Company's collection, use, storage, and disclosure of personal information are governed by the Company's Privacy Policy, as amended from time to time.
By using the Site or Services, the Client acknowledges that personal information may be collected and processed as described in the Privacy Policy and as otherwise permitted by applicable law.
8.6 Third-Party Platforms and Service Providers
The Company may use third-party platforms and service providers to operate its business and deliver the Services, including platforms used for payment processing, scheduling, communications, client portals, video conferencing, email delivery, and related business functions.
Personal information may be processed or stored by such providers in accordance with their own terms and privacy policies and the Company's Privacy Policy.
8.7 Duration of Confidentiality
The obligations of confidentiality described in this Article will continue after the coaching engagement ends for as long as the information remains confidential, subject to applicable law and the exceptions stated in these Terms or the applicable Coaching Agreement.
Article 9
9. COACHING RELATIONSHIP, DISCLAIMERS, AND CLIENT RESPONSIBILITY
9.1 Nature of the Coaching Relationship
The Services are provided as professional coaching, mentoring, and related educational support intended to facilitate reflection, perspective, personal development, leadership development, and meaningful change.
Coaching is a collaborative process. The Company provides perspective, questions, frameworks, observations, and other forms of professional support, while the Client remains responsible for determining what is relevant to the Client's circumstances and for making the Client's own decisions.
9.2 Coaching Is Not Therapy or Medical Care
The Services are not psychotherapy, psychological treatment, psychiatric care, medical care, or other clinical or healthcare services.
The Company does not diagnose, treat, or provide medical or mental health care, and the coaching relationship does not create a physician-patient, therapist-patient, or other clinical relationship.
The Client is responsible for seeking appropriately licensed professional care when the Client's circumstances require medical, psychological, psychiatric, or other specialized professional services.
9.3 No Financial, Legal, or Other Professional Advice
Unless expressly stated otherwise and provided by an appropriately qualified professional, the Services do not constitute legal, tax, accounting, investment, financial, or other regulated professional advice.
Information or perspectives shared through coaching are intended to support the Client's own reflection and decision-making and should not be understood as a substitute for advice from a qualified professional in the relevant field.
9.4 Client Responsibility and Personal Agency
The Client acknowledges that meaningful coaching requires active participation, openness, and personal responsibility.
The Client remains solely responsible for the Client's decisions, actions, choices, circumstances, and implementation of any ideas, strategies, or perspectives explored through the coaching relationship.
The Company provides perspective, questions, frameworks, observations, and other forms of professional support, but does not direct or control the decisions or actions the Client chooses to take as a result of the coaching relationship.
The Client understands that the Company cannot control how the Client applies, interprets, or acts upon insights, perspectives, or information explored during or after the coaching engagement.
The Company does not control the Client's actions or circumstances and cannot guarantee any particular personal, professional, financial, or other outcome.
9.5 No Guarantee of Results
The Company makes no guarantee or representation that participation in the Services will produce any particular result.
Examples, testimonials, case studies, or descriptions of potential outcomes are illustrative only and do not constitute a promise or guarantee that the Client will experience the same or similar results.
Individual outcomes depend upon numerous factors, including the Client's circumstances, decisions, participation, implementation, and factors outside the Company's control.
9.6 Client Suitability and Wellbeing
The Client is responsible for determining whether coaching is suitable for the Client's circumstances.
The Company may, where reasonably necessary, recommend that the Client seek additional or alternative professional support when circumstances fall outside the intended scope of the coaching relationship.
The Company reserves the right to decline, pause, or conclude a coaching engagement where continuing the relationship would not be appropriate or reasonably practicable.
9.7 No Reliance on Coaching as a Substitute for Professional Services
Nothing provided through the Services should be understood as replacing professional advice or care that the Client may require.
Where a decision involves legal, medical, mental health, financial, tax, accounting, or other specialized professional considerations, the Client should obtain advice from an appropriately qualified professional before acting.
9.8 Personal Responsibility for Use of Information
The Client voluntarily chooses whether and how to apply information, perspectives, exercises, or other material explored through the Services.
The Client accepts responsibility for evaluating the relevance and suitability of any such information to the Client's individual circumstances and for the consequences of the Client's decisions and actions.
Article 10
10. LIMITATION OF LIABILITY AND INDEMNIFICATION
10.1 Limitation of Liability
To the fullest extent permitted by applicable law, Barbara Bolz-Nunnery LLC and its owner, representatives, contractors, and service providers will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, business opportunities, data, goodwill, or other intangible losses arising out of or relating to the use of the Site or Services.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.
10.2 Maximum Liability
To the fullest extent permitted by applicable law, the Company's total liability arising out of or relating to the Services will be limited to the amount actually paid by the Client for the specific coaching engagement giving rise to the claim.
This limitation applies only to claims arising from or relating to that specific engagement and does not create an ongoing obligation or liability for Services or circumstances unrelated to the engagement.
Nothing in these Terms limits any rights or remedies that cannot lawfully be limited under applicable law.
10.3 Client Responsibility
The Client acknowledges that the Services involve personal and professional development and that the Client remains responsible for the Client's own decisions, actions, implementation, and results.
The Company does not assume responsibility for outcomes arising from the Client's decisions, actions, omissions, or circumstances outside the Company's reasonable control.
10.4 Third-Party Services and Platforms
The Company may rely on third-party platforms and service providers in connection with the delivery of the Services, including payment processors, scheduling systems, email providers, video-conferencing services, client portals, and other technology platforms.
The Company is not responsible for interruptions, errors, security incidents, delays, or other failures caused by third-party services that are outside the Company's reasonable control.
Third-party services may also be subject to their own terms, policies, and limitations.
10.5 Events Beyond Reasonable Control
The Company will not be responsible for delays, interruptions, or failure to perform caused by circumstances beyond its reasonable control, including natural disasters, severe weather, illness, emergencies, acts of government, labor disruptions, widespread technological failures, internet or telecommunications outages, or other events that could not reasonably have been prevented or anticipated.
Where reasonably possible, the Company will communicate with affected Clients and make reasonable efforts to restore or reschedule affected Services.
10.6 Indemnification
To the fullest extent permitted by applicable law, the Client agrees to indemnify and hold harmless Barbara Bolz-Nunnery LLC and its owner, representatives, contractors, and service providers from claims, liabilities, damages, losses, and reasonable expenses arising out of:
the Client's material violation of these Terms or an applicable Coaching Agreement;
the Client's unlawful use of the Site or Services;
the Client's infringement or violation of the intellectual property or other rights of the Company or a third party; or
the Client's intentional misconduct or violation of applicable law.
This indemnification obligation does not apply to the extent a claim results from the Company's own gross negligence, willful misconduct, or other conduct for which liability cannot lawfully be excluded or limited.
10.7 No Waiver of Non-Waivable Rights
Nothing in these Terms is intended to waive, restrict, or limit any rights or remedies that cannot lawfully be waived, restricted, or limited under applicable law.
Article 11
11. GOVERNING LAW, DISPUTE RESOLUTION, AND GENERAL TERMS
11.1 Governing Law
These Terms and the Client's use of the Site and Services are governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict-of-law principles, except to the extent that applicable law provides otherwise.
11.2 Good-Faith Resolution
Before initiating formal legal proceedings, the Company and Client agree to make reasonable, good-faith efforts to resolve any dispute, concern, or disagreement arising out of or relating to these Terms or the Services.
The parties may communicate directly and, where mutually agreed, may seek an appropriate informal or alternative means of resolving the matter.
Nothing in this provision prevents either party from taking action when necessary to preserve legal rights, comply with applicable deadlines, or seek urgent or legally available relief.
11.3 Venue and Jurisdiction
To the extent permitted by applicable law, any legal action or proceeding arising out of or relating to these Terms or the Services shall be brought in the state or federal courts located in the State of Tennessee, and the parties consent to the jurisdiction of those courts.
11.4 Severability
If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the fullest extent permitted by law and the remaining provisions will remain in full force and effect.
11.5 Waiver
A failure or delay by the Company to exercise or enforce any right or provision of these Terms will not constitute a waiver of that right or provision.
Any waiver must be expressly made in writing and signed by the party granting the waiver.
11.6 Entire Agreement
These Terms, together with any applicable Coaching Agreement, purchase terms, policies expressly incorporated by reference, and other written agreements between the Company and Client, constitute the entire agreement between the parties concerning the subject matter addressed therein and supersede prior or contemporaneous understandings relating to that subject matter.
Where an applicable Coaching Agreement contains terms that specifically govern the individual coaching engagement, those terms will control with respect to that engagement to the extent of any direct conflict with these general Terms.
11.7 Amendments
The Company may update these Terms from time to time to reflect changes in the Services, business practices, technology, or applicable legal requirements.
The updated Terms will become effective when posted on the Site, unless otherwise stated.
Changes will not retroactively modify the terms of a Coaching Agreement already entered into by the Company and Client unless the parties expressly agree otherwise or such modification is otherwise permitted by applicable law.
11.8 Electronic Communications and Signatures
The Client agrees that electronic communications, notices, agreements, acknowledgments, and signatures may be used in connection with the Services and may have the same legal effect as written communications and signatures to the extent permitted by applicable law.
11.9 Assignment
The Client may not assign or transfer the Client's rights or obligations under these Terms or an applicable Coaching Agreement without the Company's prior written consent, except where such restriction is prohibited by applicable law.
The Company may assign or transfer its rights and obligations in connection with a merger, acquisition, reorganization, sale of substantially all business assets, or similar business transaction, subject to applicable law.
11.10 Survival
Any provisions that by their nature are intended to continue after termination or completion of an engagement will survive, including provisions concerning intellectual property, confidentiality, limitations of liability, indemnification, governing law, and dispute resolution.
